2004年以来,YZ市的A动力集团与XM公司展开了多轮的合资谈判,在合资范围、出资形式、股权比例、人员安置、合同执行方式、发展目标等方面取得共识。作为合资收购的一部分,XM公司拟对A动力集团的核心业务相关无形资产进行收购。但是双方在A动力集团的核心业务相关无形资产的定价上产生了分歧,并进行了多轮艰苦的谈判。作为A动力公司的管理者,面对XM公司的合资需求,如何确定合资涉及的相关资产的价值,已成为影响合资合作的关键,也是推动合资的重要环节。本案例对合资的背景和进程进行了描述,以使学员探讨中外合资合作的行为和定价困境,以及解决方案。

Abstract

A power group and XM company have carried out several rounds of joint venture negotiation and make consensus in joint scopecapital formequity ratiostaff arrangementcontract execution waydevelopment goal and so on. As a part of acquisition, XM try to buy core-business-related intangible assets of A power group. But they have difference in pricing the intangibles after several rounds difficult negotiations. As managers of A power group who facing the need of XM, how to evaluate the underlying assets has become the key point for the acquisition. This case provides underlying background and processes about the acquisition for our students to discuss the activities pricing dilemma and solutions in the sino-foreign joint acquisitions.
